  1.                  WINPROXY LICENSE AGREEMENT

  5.     1.    NOTICE.  READ THIS AGREEMENT CAREFULLY. OSITIS 
  6. SOFTWARE IS WILLING TO LICENSE THE SOFTWARE TO YOU ONLY ON THE 
  7. CONDITION THAT YOU ACCEPT ALL OF THE TERMS CONTAINED IN THIS 
  8. END-USER LICENSE AGREEMENT.  YOU ACCEPT AND AGREE TO BE BOUND BY 
  9. THIS LICENSE AGREEMENT BY CLICKING THE ICON LABELED ôI ACCEPTö 
  10. THAT IS DISPLAYED BELOW.  IF YOU DO NOT AGREE TO THIS LICENSE, 
  11. CLICK THE ICON LABELED ôCANCEL,ö IN WHICH CASE THE INSTALLATION 
  12. WILL BE CANCELED. PROMPTLY RETURN THE UNUSED SOFTWARE AND ALL 
  13. ACCOMPANYING MATERIALS, ALONG WITH PROOF OF PAYMENT, TO THE 
  14. AUTHORIZED DEALER FROM WHOM YOU OBTAINED IT FOR A FULL REFUND OF 
  15. THE PRICE YOU PAID.

  18. 2. Ownership and License.  This is a license agreement 
  19. and NOT an agreement for sale, concerning the use of WinProxy.  
  20. Ositis Software continues to own the copy of the computer 
  21. programs, documentation, data, and other content provided to 
  22. you, and all other copies that you are authorized by this 
  23. Agreement to make (the ôSoftwareö).  Your rights to use the 
  24. Software are specified in this Agreement, and Ositis Software 
  25. retains all rights not expressly granted to you in this 
  26. Agreement.  Nothing in this Agreement constitutes a waiver of 
  27. Ositis SoftwareÆs rights under U.S. or international copyright 
  28. law or any other federal or state law.

  30. All content accessed through the Software is the property of the 
  31. applicable content owner and may be protected by applicable 
  32. copyright law. This license gives you no rights to such content.

  35.     3.    Permitted Uses.  You are granted the following rights 
  36. to the Software:
  37.  
  38.         (a)    Right to Install and Use.  You may install the 
  39. Software on one computer connected to one local area network.  
  40. The Software is ôinstalledö on a computer when it is placed on a 
  41. computerÆs hard disk or other secondary storage device.  The 
  42. Software is ôin useö on a computer when it is executed or loaded 
  43. into the computerÆs RAM or other primary memory.  If you install 
  44. the Software on additional computers, or on more than one local 
  45. area network, you must acquire additional licenses.

  48.         (b)    Right to Copy.  You may copy the Software for 
  49. back-up and archival purposes only, provided that the original 
  50. is kept in your possession and that your installation and use of 
  51. the Software does not exceed that allowed in the ôRight to 
  52. Install and Useö section above.

  55.  
  56.     4.    Prohibited Uses.  You may not, without written 
  57. permission from Ositis Software:
  58.  
  59.         (a)    Use, copy, modify, merge, or transfer copies of 
  60. the Software except as expressly authorized in this Agreement;
  61.  
  62.         (b)    Use any back-up or archival copies of the 
  63. Software (or allow someone else to use such copies) for any 
  64. purpose other than to replace an original copy if it is 
  65. destroyed or becomes defective;
  66.  
  67.         (c)    Disassemble, decompile or ôunlock,ö reverse 
  68. translate, or in any manner decode the Software for any reason;
  69.         
  70. (d)    Place the Software onto a server so that it is 
  71. accessible via a public network such as the Internet; or
  72.  
  73.         (e)    Sublicense, lease, or rent the Software.

  77.     5.    LIMITED WARRANTY
  78.  
  79.         (a)    Limited Warranty.  Ositis Software warrants that, 
  80. for thirty (30) days from the date you acquired it from us or 
  81. our authorized dealers (1) the Software will perform 
  82. substantially in accordance with the user documentation 
  83. accompanying the Software, and (2) the media on which the 
  84. Software is provided to you will be free from defects in 
  85. materials and workmanship under normal use and service.

  87.         (b)    Exclusive Remedies.  Ositis SoftwareÆs entire 
  88. liability and your sole and exclusive remedy for breach of the 
  89. foregoing warranty shall be, at our option, to either (1) return 
  90. the price you paid for the software, or (2) repair or replace 
  91. the Software or media that does not meet the foregoing limited 
  92. warranty if it is returned to us with a copy of your receipt.  
  93. This limited warranty is void if failure of the Software is 
  94. caused by accident, abuse, or violation of this license 
  95. agreement.  Any replacement Software will be warranted as above 
  96. for the remainder of the original warranty period, or thirty 
  97. (30) days from the date we ship it to you, whichever is longer.

  99.         (c)    WARRANTY DISCLAIMER.  OSITIS SOFTWARE DOES NOT 
  100. WARRANT THAT THIS SOFTWARE WILL MEET YOUR REQUIREMENTS OR THAT 
  101. ITS OPERATION WILL BE UNINTERRUPTED OR ERROR-FREE.  TO THE 
  102. EXTENT ALLOWED BY LAW, WE EXPRESSLY DISCLAIM ALL EXPRESS 
  103. WARRANTIES NOT STATED HERE AND ALL IMPLIED WARRANTIES, INCLUDING 
  104. THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A 
  105. PARTICULAR PURPOSE.  THE SOFTWARE IS NOT FAULT-TOLERANT AND IS 
  106. NOT DESIGNED, MANUFACTURERED OR INTENDED FOR USE OR RESALE AS 
  107. ON-LINE CONTROL EQUIPMENT IN HAZARDOUS ENVIRONMENTS REQUIRING 
  108. FAIL-SAFE PERFORMANCE, SUCH AS IN THE OPERATION OF NUCLEAR 
  109. FACILITIES, AIRCRAFT NAVIGATION OR COMMUNICATION SYSTEMS, AIR 
  110. TRAFFIC CONTROL, DIRECT LIFE SUPPORT MACHINES, OR WEAPONS 
  111. SYSTEMS, IN WHICH THE FAILURE OF THE SOFTWARE COULD LEAD 
  112. DIRECTLY TO DEATH, PERSONAL INJURY, OR SEVERE PHYSICAL OR 
  113. ENVIRONMENTAL DAMAGE (ôHIGH RISK ACTIVITIESö) OSITIS SOFTWARE 
  114. SPECIFICALLY DISCLAIMS ANY EXPRESS OR IMPLIED WARRANTY OF 
  115. FITNESS FOR HIGH RISK ACTIVITIES. IF THIS SOFTWARE QUALIFIES AS 
  116. A ôCONSUMER PRODUCTö UNDER THE MAGNUSON-MOSS WARRANTY ACT, ANY 
  117. IMPLIED WARRANTIES ARE LIMITED TO THIRTY (30) DAYS FROM THE DATE 
  118. YOU ACQUIRED THE SOFTWARE FROM OSITIS SOFTWARE OR FROM OUR 
  119. AUTHORIZED DEALER, AND THEREAFTER ANY IMPLIED WARRANTIES ARE 
  120. EXPRESSLY DISCLAIMED.  SOME STATES DO NOT ALLOW LIMITATIONS ON 
  121. HOW LONG AN IMPLIED WARRANTY LASTS, SO THE ABOVE LIMITATION MAY 
  122. NOT APPLY TO YOU.

  124.     This limited warranty gives you specific legal rights, and 
  125. you may also have other legal rights which vary from State to 
  126. State.

  129.     6.    LIMITATION OF LIABILITY.  OSITIS SOFTWAREÆS LIABILITY 
  130. TO YOU FOR ANY LOSSES SHALL BE LIMITED TO DIRECT DAMAGES AND 
  131. SHALL NOT EXCEED THE AMOUNT YOU ORIGINALLY PAID FOR THE 
  132. SOFTWARE.  IN NO EVENT WILL OSITIS SOFTWARE BE LIABLE TO YOU FOR 
  133. ANY INCIDENTAL, INDIRECT, SPECIAL, OR CONSEQUENTIAL DAMAGES 
  134. (INCLUDING LOSS OF PROFITS), EVEN IF WE HAVE BEEN ADVISED OF THE 
  135. POSSIBILITY OF SUCH DAMAGES.

  137.     SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF 
  138. INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR 
  139. EXCLUSION MAY NOT APPLY TO YOU.

  142.     7.    United States Government Restricted Rights.  This 
  143. section applies to all acquisitions of the Software by or for 
  144. the federal government.  By accepting delivery of the Software, 
  145. the government hereby agrees that the Software qualifies as 
  146. ôcommercialö computer software as that term is used in the 
  147. acquisition regulations applicable to this procurement and that 
  148. the governmentÆs use and disclosure of the Software is 
  149. controlled by the terms and conditions of this Agreement to the 
  150. maximum extent possible.  This Agreement supersedes any contrary 
  151. terms or conditions in any statement of work, contract, or other 
  152. document that are not required by statute or regulation.  If any 
  153. provision of this Agreement is unacceptable to the government, 
  154. Vendor may be contacted at Ositis Software, 6150 Stoneridge Mall 
  155. Drive, Suite 180, Pleasanton, CA 94588, (510) 734-1900.  If any 
  156. provision of this Agreement violates applicable federal law or 
  157. does not meet the governmentÆs actual, minimum needs, the 
  158. government agrees to return the unused Software for a full 
  159. refund.

  161.     The following statement applies only to procurements 
  162. governed by DFARS Part 227.4 (OCT 1988): The enclosed Software 
  163. is provided with Restricted Rights -- Use, duplication, or 
  164. disclosure by the U.S. Government or any of its agencies or 
  165. instrumentalities is subject to restrictions as set forth in 
  166. subparagraph (c)(1)(ii) [or (i)] of the Rights in Technical Data 
  167. and Computer Software clause at DFARS 252.227-7013 (OCT 1988).  
  168. Contractor Manufacturer is Ositis Software, 6150 Stoneridge Mall 
  169. Drive, Suite 180, Pleasanton, CA 94588.

  172.     8.    Export Controls.  You acknowledge that the Software is 
  173. subject to the export control laws and regulations of the United 
  174. States and any amendments thereof.  You agree that you will not 
  175. directly or indirectly transfer the Software except in 
  176. compliance with all applicable U.S. export laws and regulations.

  179.     9.    Termination.  This Agreement is effective until 
  180. terminated.  You may terminate this Agreement at any time by 
  181. destroying all copies of the Software in your possession or by 
  182. returning all such copies to Ositis Software.  This Agreement 
  183. and your right to use this Software automatically terminate if 
  184. you fail to comply with any material provision of this 
  185. Agreement.  Your license to use this Software also terminates if 
  186. you assign this Agreement to someone else.  Upon termination, 
  187. you must stop all use of the Software and must destroy any 
  188. copies that remain in your possession.  Otherwise, the 
  189. restrictions on your rights to use the Software will end upon 
  190. expiration of the copyright to the Software.

  193.     10.    Miscellaneous Provisions.  This Agreement will be 
  194. governed by and construed according to the substantive laws of 
  195. California [and not by the 1980 United Nations Convention on 
  196. Contracts for the International Sale of Goods, as amended].  
  197. This is the entire agreement between us relating to the Software 
  198. and supersedes any prior purchase order, communication, 
  199. advertising, or representation concerning the Software.  No 
  200. change or modification of this Agreement will be valid unless it 
  201. is in writing and is signed by Ositis Software.

  203.     Canadian Transactions:  If you acquired this Software in 
  204. Canada, you agree to the following:
  205.  
  206.     The parties hereto have expressly required that the present 
  207. Agreement and its Exhibits be drawn up in the English 
  208. language./  Les parties aux presentes ont expressement 
  209. exige que la presente convention et ses Annexes soient 
  210. redigees en langue anglaise.
